Valuation

Valuation is a process by which a company’s worth is determined based on historical and projected future financials. We offer a range of valuation services to help clients make informed financial decisions. These services involve analyzing various factors and utilizing various valuation methodologies to provide an accurate and unbiased valuation that reflects the true worth of the asset or business in question. Further, major business decisions like Mergers, Acquisitions and dispositions; taxation planning and compliance; financial reporting; bankruptcy and reorganization; litigation and dispute resolution; and strategic planning are taken based on the evaluation of the fair value of equity shares of a company.

There are numerous methods of valuation each serving a different purpose, like Discounted Cash Flow (DCF) Analysis, Comparable Company Analysis (CCA), Precedent Transaction Analysis (PTA), Earnings Multiple Valuation, and Asset-Based Valuation. The requirement of valuation comes into the picture under various acts, such as the Companies Act, 2013, SEBI (ICDR), 2018, SEBI (SAST), 2011, Income Tax, 1961 and FEMA, 2017.

Compliance Due Diligence

Compliance due diligence is the process of conducting a comprehensive review of an organization’s compliance framework to ensure that it is in line with regulatory requirements and industry standards. The objective of compliance due diligence is to identify and evaluate any potential legal, financial, or reputational risks associated with a particular transaction, investment, or business relationship. By conducting compliance due diligence, organizations can mitigate risks, avoid potential legal or financial liabilities, and ensure that their business practices align with ethical standards and regulatory requirements.

AIF Registration

Alternative Investment Funds (AIFs) are investment vehicles that gather funds from both Indian and foreign investors with the purpose of investing. In accordance with regulations set forth by the Securities and Exchange Board (SEBI), AIFs must file a placement memorandum through a SEBI registered Merchant Banker. These Merchant Bankers are responsible for conducting an independent due diligence of all disclosures in the placement memorandum, ensuring the accuracy and sufficiency of the information, and providing a certificate of due diligence.

Corpwis carries out a comprehensive due diligence process on India’s Alternative Investment Funds (AIFs), creates a report, and issues a certificate in accordance with SEBI guidelines. This report and certificate are submitted either when the draft placement memorandum of AIFs is filed with SEBI or prior to the launch of a new scheme on the SEBI Intermediary portal.

Revocation of Suspension

Revocation of suspension refers to the lifting of the suspension imposed on a listed security by a stock exchange. The suspension may be imposed for various reasons, such as non-compliance with regulatory requirements or significant fluctuations in the price or trading volume of the security. The revocation of suspension is a process that involves meeting certain regulatory requirements, such as filing necessary disclosures or reports, and may require the approval of the stock exchange or regulatory authority. The lifting of the suspension can enable trading to resume in the security, thereby providing investors with an opportunity to buy or sell the security once again.
Corpwis Advisors assists companies in lifting their suspension by carrying out a comprehensive analysis of the suspension grounds, conducting thorough due diligence, engaging in communication with both regulatory bodies and investors, ensuring that necessary disclosures and filings are compliant, and providing guidance to the company throughout the re-listing process on the stock exchange.
